1. Definitions
1.1 “Action” means installs, clicks, impressions, in-app events or other defined billable events.
1.2 "Account Link", "Freecash Link" or "Link" means a user who either (i) did not have a Freecash account before and creates a new Freecash account or (ii) logs into an existing Freecash account and links it to the game via the Freecash Link.
1.3 “Advertising Materials” means all creatives, assets, copy, text, images, videos, URLs, tracking links, landing pages, brand features, trademarks, and other content provided by or used by Publisher in connection with the Services.
1.4 “Agreement” means these Publisher Terms & Conditions, together with any Order Form and the DPA referenced herein.
1.5 “Attribution Window” means the period during which an Action may be attributed to a Campaign.
1.6 “Campaign” means a campaign described in an Order Form or otherwise activated by Almedia.
1.7 “CPM" / "CPC / "CPI" / "CPA" / "CPD” mean the pricing and billing models defined in Section 14.
1.8 “End User Data” means data relating to end users generated in connection with Campaign delivery and processed by Publisher solely on behalf of Almedia, as further described in the DPA.
1.9 “Fraud” / “Invalid Activity” means any activity that artificially inflates, manipulates, misrepresents, or distorts genuine user actions, attribution, Campaign performance, or billing, including but not limited to bots, device farms, fake or duplicate accounts, misattribution, unauthorised incentivisation, automation, or similar non-genuine activity.
1.10 “Inventory” means any and all digital properties, media, traffic sources, placements, environments, channels, and distribution methods used by Publisher to deliver the Services, whether owned, operated, or controlled directly or indirectly by Publisher, including websites, mobile applications, SDK traffic, offerwalls, rewarded placements, push notifications, email, and sub-affiliate traffic.
1.11 "Link Integration" means the implementation described in Almedia's Link Integration Guide, whereby users can link their Freecash account from within Publisher’s game and earn rewards through in-game engagement.
1.12 “Mobile Measurement Platform" or "MMP” means the attribution platform selected by Almedia (e.g. Appsflyer, Adjust, Singular).
1.13 “Order Form” means any campaign-level agreement executed by Publisher that incorporates these Terms by reference.
1.14 “Postback Window” means the time period in which an in-app event is sent after install.
1.15 “Publisher” means the entity entering into an Order Form with Almedia to provide traffic, Inventory, or promotional Services.
1.16 "Reward Funding" means monetary rewards that Almedia pays into Freecash for distribution to linked users to increase engagement.
1.17 “Services” means the traffic generation, promotion, user acquisition, and related services provided by Publisher to Almedia under the Agreement.
1.18 “Verified Account Link” means an Account Link that:
(a) is attributed to Publisher in accordance with the agreed MMP configuration;
(b) is confirmed in Almedia’s internal reporting systems; and
(c) is not excluded due to Fraud or Invalid Activity pursuant to the Terms.
For clarity, Account Links generated by users whose traffic source originates from Freecash shall not qualify as Verified Account Link.
2. Structure of Agreement
2.1 These Terms govern all Services and Campaigns provided by Publisher to Almedia. The Agreement consists of:
(a) the Order Form,
(b) these Link Terms & Conditions (the “Terms”), and
(c) the DPA (“DPA”).
2.2 In the event of conflict, the hierarchy is:
(i) Order Form
(ii) these Terms
(iii) DPA
In the event of any conflict between these Terms and the DPA relating to the Processing of Personal Data or Data Protection Laws, the DPA shall prevail.
2.3 Without limiting the definition of “Services” in Sec. 1.17, the Services include the integration of the Freecash Link within Publisher’s game(s) or applications, enabling users to create a new Freecash account or link an existing Freecash account and receive rewards funded by Almedia.
In connection with such Link Integration:
(a) Almedia shall provide the technical account-linking flow;
(b) Almedia shall fund agreed user rewards; and
(c) Almedia shall track and report qualifying Account Links and other mutually agreed events.
Publisher shall enable and maintain the required postbacks, identifiers, and technical parameters in accordance with these Terms and the applicable Integration Guide.
3. Campaign Activation
3.1 A Campaign becomes binding when an Order Form is executed or when Campaign delivery begins.
3.2 Publisher is solely responsible for all Inventory, placements, traffic sources, sub-publishers, and methods used to deliver the Campaign.
3.3 Almedia may modify, pause, limit, or terminate Campaigns at any time in its sole discretion.
3.4 Publisher shall not materially change Inventory, traffic sources, or delivery methods without Almedia’s prior written approval.
Integration & Technical Requirements
4.1 Integration Guide. Publisher shall implement the Link Integration in accordance with Almedia’s then-current Link Integration Guide (the “Integration Guide”), which is incorporated by reference and forms part of the Agreement.
4.2 Publisher shall implement at least one clearly visible entry point in each integrated title to trigger the Freecash Link (e.g. button, floating icon, or explainer). Publisher shall ensure such entry point is only shown where required consents have been obtained and the necessary identifiers can be provided.
4.3 Publisher shall enable and continuously maintain unattributed postbacks (or equivalent server-to-server events) from its Mobile Measurement Platform (“MMP”) to Almedia for the events and parameters specified in the Integration Guide and/or the applicable Order Form. Postbacks must include event timestamps and the identifiers specified by Almedia.
4.4 Each in-game Freecash Link shall pass the parameters specified by Almedia (including MMP ID and any additional IDs mutually agreed). Almedia will provide the parameter format and sample URLs. Publisher shall not change, remove, conceal, throttle, or materially alter such parameters, events, or postbacks without Almedia’s prior written approval.
4.5 Publisher shall promptly notify Almedia of any tracking or postback downtime. Publisher shall not disable or materially alter any integration components without at least five (5) business days’ prior notice and a cure period, unless required by law or for emergency security reasons.
4.6 Each Party shall provide prompt, reasonable assistance to implement and debug the integration, and each Party shall designate a technical point of contact reachable by Slack/email during normal business hours.
5. Advertising Materials & Licence
5.1 Publisher represents and warrants that all Advertising Materials used by Publisher:
(a) comply with applicable laws and platform policies,
(b) do not infringe third-party rights, and
(c) are accurate, non-misleading, and not deceptive.
5.2 Publisher grants Almedia a non-exclusive, worldwide, royalty-free licence to use, review, audit, and store Advertising Materials solely for Campaign operation, compliance, and investigation.
5.3 Almedia may reject, suspend, or require modification of Advertising Materials at any time.
6. Prohibited Activities and Brand Protection
6.1 Publisher shall not engage in Fraud, Invalid Activity, or any conduct that manipulates attribution, misleads users, violates law, or harms Almedia.
6.2 Publisher shall not misrepresent Inventory, placements, or traffic origin.
6.3 Publisher shall not, without Almedia’s prior written approval:
(a) bid on or use “Freecash”, “Almedia”, or confusingly similar terms;
(b) use misleading branding implying official affiliation;
(c) redirect traffic to circumvent caps or enforcement;
(d) allow sub-affiliates to do any of the above.
6.4 Publisher is fully responsible for all actions of sub-affiliates and third parties.
7. Tracking, Attribution & Invalid Activity
7.1 Attribution is determined exclusively by Almedia’s designated MMP.
7.2 If MMP data is unavailable or inconsistent, Almedia internal reporting applies.
7.3 In case of discrepancies, Almedia’s data prevails unless demonstrably incorrect.
7.4 Publisher must notify Almedia promptly of tracking downtime.
7.5 Fraud / Invalid Activity includes (non-exhaustive):
automated or scripted traffic
click injection or spamming
VPN/proxy abuse
fake or duplicate accounts
undisclosed traffic sources
anomalous behavior patterns
7.6 Publisher shall provide logs, reports, and access reasonably required for any investigation.
8. Fees, Billing, Payment and Adjustments
8.1 Publisher shall be compensated solely for valid Actions accepted and recorded by Almedia under the pricing model(s) specified in the applicable Order Form, including but not limited to CPC, CPI, CPA, CPM, revenue share or hybrid models. No payment is due for Actions that are rejected, reversed, capped, or otherwise deemed invalid.
8.2 All Actions are measured, validated, and accepted exclusively by Almedia using its internal tracking, reporting, fraud-detection systems and attribution logic. Publisher acknowledges that Almedia’s data is final and binding for billing purposes unless demonstrably and materially incorrect.
8.3 Unless otherwise agreed in an Order Form:
(a) earnings are calculated on a monthly basis;
(b) payouts are issued in arrears following the end of the applicable billing period;
(c) minimum payout thresholds may apply; and
(d) payouts are subject to successful completion of all required verification, compliance, and fraud-review checks.
8.4 Unless otherwise set out in an Order Form, Publisher shall invoice monthly in arrears, and Almedia shall pay undisputed amounts within the payment term stated in the applicable Order Form.
8.5 Payments shall be made via the payment method selected by Publisher and approved by Almedia. Publisher is solely responsible for:
(a) providing accurate and up-to-date payment information;
(b) any bank fees, transaction costs, currency conversion fees, or third-party charges; and
(c) any delays or failures caused by incorrect or incomplete payment details.
8.6 Almedia reserves the right, at its sole discretion, to:
(a) withhold payments pending investigation of suspected Fraud or Invalid Activity;
(b) offset any amounts owed by Publisher against future payouts;
(c) reverse previously credited earnings;
(d) issue negative balances where applicable; and
(e) adjust future payouts to reflect corrections, reversals, chargebacks, or post-validation findings.
8.7 If Almedia determines that Actions are associated with Fraud or Invalid Activity:
(a) such Actions shall be deemed invalid and non-billable;
(b) Publisher shall have no entitlement to payment for such Actions;
(c) Almedia may recover any amounts previously paid in connection with such Actions; and
(d) Almedia may suspend or terminate the Publisher account immediately.
8.8 All Campaign caps, volume estimates, budgets, and payout forecasts are indicative only. Almedia does not guarantee any minimum volume, earnings, or delivery. Reaching a cap, pausing a Campaign, or reallocating traffic does not constitute a breach of this Agreement.
8.9 Publisher must notify Almedia in writing of any billing dispute within five (5) business days of the relevant payout or statement, providing reasonable technical evidence. Failure to do so shall constitute irrevocable acceptance of the reported amounts.
8.10 All amounts payable to Publisher are exclusive of taxes. Publisher is solely responsible for all taxes, duties, levies, or similar governmental charges arising from or related to payments received under this Agreement.
8.11 Publisher acknowledges that this Agreement does not create any employment, agency, or guaranteed-income relationship. Payments depend solely on valid Actions delivered in accordance with this Agreement.
8.12 Unless otherwise expressly agreed in writing between the Parties, all fees and amounts payable under this Agreement shall be invoiced and paid in USD. Where both Parties are established in the European Union and the relevant Campaign activities are conducted exclusively within the European Union, invoices shall be issued in EUR, unless the Parties expressly agree otherwise in writing.
9. Data Protection
9.1 Publisher may access and process Customer Data solely to provide, maintain, secure, and optimise the Services.
9.2 Customer Data shall not be used for product development, market analysis, or modelling except in aggregated, anonymised form.
9.3 The Parties agree to the DPA.
9.4 The Parties acknowledge that, with respect to End User Data processed in connection with the Services (including Link Integration), Almedia acts as Controller and Publisher acts as Processor, as further set out in the DPA.
9.5 Publisher shall process End User Data solely on behalf of Almedia and solely to perform the Services, and shall not use End User Data for its own purposes except in aggregated and anonymised form that does not constitute Personal Data.
9.6 In the event of any conflict between these Terms and the DPA relating to the Processing of Personal Data or Data Protection Laws, the DPA shall prevail.
10. Intellectual Property
10.1 Almedia owns and retains all rights in its platform, technology, analytics, fraud-detection systems, attribution logic, processes, and reports.
10.2 No rights are granted to Publisher except as expressly stated.
11. Confidentiality
11.1 “Confidential Information” means all non-public or proprietary information disclosed by one Party (“Discloser”) to the other (“Recipient”), in any form, including, without limitation:
(a) the existence, nature, functionality, and commercial details of the Freecash Link, Almedia Link, Almedia Lift, or any similar account-linking or reward-funding product or integration;
(b) product concepts, designs, specifications, roadmaps, features, APIs, documentation, and security credentials;
(c) pricing, financial terms, performance metrics, user or usage data; and
(d) the terms of the Agreement, Order Forms, and related commercial arrangements.
11.2 Each Party shall keep all Confidential Information strictly confidential and shall not disclose it to any third party except as expressly permitted under this Agreement. Each Party shall use Confidential Information solely for the purpose of performing or enforcing this Agreement and shall protect it with at least the same degree of care it uses to protect its own confidential information of a similar nature, and in any event no less than reasonable care.
11.3 Confidential Information may be disclosed solely on a strict need-to-know basis to a Party’s employees, officers, affiliates, professional advisers, or subcontractors who are bound by written confidentiality obligations no less protective than those set out in this Section, provided that the disclosing Party remains responsible for any breach by such recipients.
11.4 The obligations in this Section shall survive for three (3) years following termination or expiry of the Agreement, provided that obligations relating to trade secrets and Personal Data shall survive for so long as such information remains protected under applicable law.
11.5 Unless expressly approved by Almedia or required by applicable law, Publisher shall not issue any press release, marketing communication, public statement, case study, or other disclosure that references Almedia, Freecash, the Freecash Link, Almedia Link, Almedia Lift, or the existence or terms of the Services.
12. Compliance
12.1 Publisher shall comply with all applicable laws, advertising standards, consumer protection rules, sanctions laws, platform policies and data protection requirements.
12.2 Almedia may suspend or restrict a Campaign or delivery if it reasonably believes non-compliance may occur.
13. Audit Rights
13.1 Almedia may, with 5 business days’ notice, appoint an independent auditor to verify:
attribution accuracy
tracking integrity
server-side postback accuracy
MMP configuration and logs
13.2 Publisher must provide read-only access to relevant dashboards and logs.
13.3 If discrepancies exceed 5%, Publisher shall: (a) reimburse audit costs, (b) correct configuration issues, (c) credit any underreported Actions.
14. Warranties & Disclaimers
14.1 Each Party warrants it has authority to enter into the Agreement.
14.2 Almedia provides no traffic or revenue guarantees.
15. Pricing and Action Models
The following different pricing and Action models may apply to the Services, as specified in the applicable Order Form or otherwise agreed in writing:
(a) CPI: Billable and payable to Publisher when an install is validly attributed to Almedia via the applicable MMP in accordance with the agreed Attribution Window.
(b) CPA: Billable and payable to Publisher when the defined in-app event occurs within the applicable Postback Window and is validly attributed to Almedia via the MMP.
(c) CPM: Billable impressions determined by Almedia’s internal measurement systems, unless demonstrably inaccurate based on clear and verifiable technical evidence provided by Publisher.
(d) CPC: Billable clicks as tracked by Almedia’s tracking systems and logs, unless demonstrably inaccurate.
(e) Underdelivery: Almedia is not liable for underdelivery. Caps, pacing, volume estimates, and forecasts are targets only and not guarantees, and underdelivery shall not constitute a breach of this Agreement nor give rise to any claim or compensation by Publisher.
(f) Attribution Priority: As defined in Section 6.3.
16. Limitation of Liability
16.1 Almedia’s aggregate liability shall not exceed the total fees payable in the twelve (12) months preceding the event.
16.2 Neither Party is liable for indirect, consequential, punitive, or special damages (including lost profits, lost business, or loss of data).
16.3 Liability for wilful misconduct or fraud is not excluded.
17. Term & Termination
17.1 Either Party may terminate an Order Form or the Agreement with 30 days’ written notice.
17.2 Either Party may terminate immediately for uncured material breach (after 10 days’ notice).
17.3 Sections on confidentiality, liability, payment, data protection, and governing law survive termination.
18. Modification of Terms
18.1 Almedia may update these Terms from time to time. Updated versions will be published at the URL referenced in the Order Form.
18.2 Changes take effect upon posting.
18.3 Publisher’s continued provision of the Services after posting constitutes acceptance.
18.4 Almedia may update the Integration Guide from time to time. Non-material changes take effect upon publication. Material changes will be notified to Publisher and will not apply retroactively to already-live Campaigns without Publisher’s consent.
19. Governing Law & Jurisdiction
19.1 This Agreement is governed by the laws of the Federal Republic of Germany, excluding conflict-of-laws principles.
19.2 The courts of Berlin, Germany have exclusive jurisdiction over all disputes arising out of or relating to the Agreement.
19.3 Each Party irrevocably submits to the exclusive jurisdiction of the courts of Berlin, Germany, and agrees not to challenge the jurisdiction of those courts.
20. Miscellaneous
20.1 Nothing creates a partnership, joint venture, fiduciary relationship, or agency.
20.2 Notices may be delivered via email.
20.3 If any section is invalid, the remainder remains in effect, and invalid terms shall be replaced by enforceable terms closest to the Parties’ original intent.
20.4 The Agreement constitutes the entire agreement between the Parties.

1.10 「Inventory」是指 Publisher 为提供本服务所使用的所有数字资产、媒体、流量来源、展示位、环境、渠道及投放方式,无论其是否由 Publisher 直接或间接拥有、运营或控制。其中包括网站、移动应用、SDK 流量、Offer Wall、奖励型展示位、推送通知、电子邮件及分销商流量。
1.11 「Link Integration」是指 Almedia 的 Link Integration Guide 所述的实施方案,允许用户在 Publisher 的游戏中关联(链接)Freecash 账户,并通过游戏内互动获得奖励。
1.12 「Mobile Measurement Platform」或「MMP」是指由 Almedia 选定的归因平台,例如 Appsflyer、Adjust、Singular。
1.13 「Order Form」是指 Publisher 签署的按活动签订的协议,并通过引用并入本 Terms。
1.14 「Postback Window」是指在安装后发送应用内事件的期间。
1.15 「Publisher」是指与 Almedia 签订 Order Form 以提供流量、Inventory 或推广服务的主体。

(b) 经 Almedia 的内部报告系统确认;且
(c) 未根据本 Terms 因 Fraud 或 Invalid Activity 而被排除。
为明确起见,由源自 Freecash 的流量来源所产生的账户链接,不视为已验证账户链接。
合同构成
2.1 本 Terms 适用于 Publisher 向 Almedia 提供的所有 Services 和 Campaigns。Agreement 由以下文件构成。
(a) Order Form
(b) 本 Link Terms & Conditions(以下简称「Terms」)
(c) DPA(以下简称「DPA」)
2.2 如有冲突,优先顺序如下:
(i) Order Form
(ii) 本 Terms
(iii) DPA
如涉及 Personal Data 的处理或数据保护法律,而本 Terms 与 DPA 之间存在冲突,则以 DPA 为准。
2.3 在不限制第1.17条对「Services」定义的前提下,Services 包括在 Publisher 的游戏或应用中集成 Freecash Link,使用户能够创建新的 Freecash 账户,或链接现有 Freecash 账户,以接收由 Almedia 资助的奖励。
就该 Link Integration 而言,
(a) Almedia 提供技术性的账户链接流程。
(b) Almedia 提供约定的用户奖励资金。
(c) Almedia 跟踪并报告符合条件的 Account Links 及其他双方另行约定的事件。
Publisher 应按照本 Terms 及适用的 Integration Guide 启用并维护所需的 postback、标识符及技术参数。
Campaign 启动
3.1 Campaign 自 Order Form 签署之时或 Campaign 开始投放之时起具有约束力。
3.2 Publisher 对用于投放 Campaign 的所有 Inventory、展示位、流量来源、子发布方及方式承担全部责任。
3.3 Almedia 可自行决定随时修改、暂停、限制或终止 Campaign。
3.4 未经 Almedia 事先书面批准,Publisher 不得对 Inventory、流量来源或投放方式作出重大变更。
集成及技术要求
4.1 Integration Guide。Publisher 应按照 Almedia 当时有效的 Link Integration Guide(以下简称「Integration Guide」)实施 Link Integration。Integration Guide 通过引用并入,并构成本 Agreement 的一部分。
4.2 Publisher 应在每个已集成的游戏中至少实现一个清晰可见的入口,以启动 Freecash Link,例如按钮、悬浮图标或说明路径。Publisher 应确保仅在已取得所需同意且可提供必要标识符时显示该入口。
4.3 Publisher 应就 Integration Guide 和/或适用 Order Form 中规定的事件和参数,通过 Publisher 的 MMP 向 Almedia 启用并持续维护未归因(unattributed)的 postback(或等效的服务器间事件)。postback 必须包含事件时间戳以及 Almedia 指定的标识符。
4.4 每个游戏内 Freecash Link 必须传递 Almedia 指定的参数,包括 MMP ID 及双方另行约定的附加 ID。Almedia 将提供参数格式和示例 URL。未经 Almedia 事先书面批准,Publisher 不得修改、删除、隐藏、限流或重大更改该等参数、事件或 postback。
4.5 Publisher 应及时通知 Almedia 任何跟踪或 postback 中断(停机)。除法律要求或出于紧急安全原因外,Publisher 不得在未提前至少5个工作日通知并给予整改期的情况下禁用或重大更改任何集成组件。
4.6 各方应为集成实施和调试提供及时且合理的支持,并指定在正常营业时间内可通过 Slack/电子邮件联系的技术对接人。
Advertising Materials 与许可
5.1 Publisher 陈述并保证其使用的所有 Advertising Materials 均符合以下要求。
(a) 符合适用法律法规及平台政策
(b) 不侵犯任何第三方权利
(c) 准确、无误导且不具欺骗性
5.2 Publisher 向 Almedia 授予一项非独占、全球范围、免版税的许可,仅限于为 Campaign 运营、合规及调查之目的使用、审查、审核及存储 Advertising Materials。
5.3 Almedia 可随时拒绝、暂停或要求修改 Advertising Materials。
禁止行为及品牌保护
6.1 Publisher 不得实施 Fraud、Invalid Activity,或任何操纵归因、误导用户、违反法律法规或损害 Almedia 的行为。
6.2 Publisher 不得就 Inventory、展示位或流量来源作出虚假陈述。
6.3 未经 Almedia 事先书面批准,Publisher 不得:
(a) 竞价或使用「Freecash」「Almedia」或任何容易混淆的类似术语
(b) 使用暗示官方合作关系的误导性品牌元素
(c) 通过重定向流量规避限额或执行措施
(d) 允许子发布方实施上述任何行为
6.4 Publisher 对其所有子发布方及第三方的行为承担全部责任。
跟踪、归因及
7.1 归因由 Almedia 指定的 MMP 独家确定。
7.2 如 MMP 数据不可用或不一致,则适用 Almedia 的内部报告数据。
7.3 如存在不一致,以 Almedia 的数据为准,除非已证明该数据明显错误。
7.4 Publisher 必须及时将跟踪停机情况通知 Almedia。
7.5 Fraud/Invalid Activity 包括但不限于以下内容:
自动化或脚本流量

7.6 Publisher 应提供调查合理所需的日志、报告及访问权限。
费用、计费、付款及调整
8.1 Publisher 仅就 Almedia 批准并记录的有效 Actions 依据适用 Order Form 中规定的费用模式获得报酬,包括 CPC、CPI、CPA、CPM、收入分成或混合模式。被拒绝、撤销、受限或以其他方式认定为无效的 Actions 不予付款。
8.2 所有 Actions 均由 Almedia 通过其内部跟踪、报告、反欺诈系统及归因逻辑独家测量、验证和批准。Publisher 承认,除非 Almedia 数据被证明明显且重大错误,否则该数据对计费目的具有最终且具约束力的效力。
8.3 除非 Order Form 另有约定,否则:
(a) 收入按月计算。
(b) 付款在相应计费期结束后后付。
(c) 可适用最低付款门槛。
(d) 付款以完成所需的验证、合规及反欺诈审查为前提。
8.4 除非 Order Form 另有规定,Publisher 应按月后付方式开具发票,Almedia 应在适用 Order Form 规定的付款期限内支付无争议金额。
8.5 付款将通过 Publisher 选择且经 Almedia 批准的付款方式进行。Publisher 对以下事项承担全部责任。
(a) 提供准确且最新的付款信息
(b) 银行费用、交易成本、汇兑费用或第三方费用
(c) 因付款信息不准确或不完整导致的延迟或失败
8.6 Almedia 保留自行决定以下权利。
(a) 在调查涉嫌 Fraud 或 Invalid Activity 期间暂缓付款
(b) 用未来付款抵销 Publisher 对其的债权
(c) 撤销此前计入的收入
(d) 在适用情况下记入负余额
(e) 调整未来付款,以反映更正、撤销、拒付或后续验证结果
8.7 如 Almedia 认定某些 Actions 与 Fraud 或 Invalid Activity 有关,
(a) 该等 Actions 视为无效且不计费。
(b) Publisher 无权就该等 Actions 获得付款。
(c) Almedia 可追回已就该等 Actions 支付的金额。
(d) Almedia 可立即暂停或终止 Publisher 账户。
8.8 所有 Campaign 限额、量级预估、预算及付款预测仅供参考。Almedia 不保证最低量、收入或投放。达到限额、暂停 Campaign 或重新分配流量不构成对本 Agreement 的违约。
8.9 Publisher 必须在相关付款或报表发出后5个工作日内,以书面形式并附合理技术证据向 Almedia 提出计费争议。否则,视为无可撤销地接受所报告金额。
8.10 支付给 Publisher 的金额不含税。Publisher 对因本 Agreement 项下收款产生或相关的所有税费、关税、征费及其他公课承担全部责任。
8.11 Publisher 承认,本 Agreement 不构成雇佣、代理或收入保证关系。付款仅基于根据本 Agreement 提供的有效 Actions。
8.12 除非双方以书面明确另行约定,本 Agreement 项下所有费用及付款均以美元(USD)计费和支付。如双方均在欧盟境内设立,且相关 Campaign 活动仅在欧盟境内开展,则除非双方以书面明确另行约定,发票将以欧元(EUR)开具。
数据保护
9.1 Publisher 仅可为提供、维护、保护和优化 Services 之目的访问并处理 Customer Data。
9.2 除汇总和匿名化形式外,不得将 Customer Data 用于产品开发、市场分析或建模。
9.3 双方同意 DPA。
9.4 双方确认,就与 Services(包括 Link Integration)相关处理的 End User Data 而言,Almedia 作为 Controller,Publisher 作为 Processor,具体按 DPA 的规定执行。
9.5 Publisher 应仅为 Almedia 且仅为履行 Services 之目的处理 End User Data;除不构成 Personal Data 的汇总和匿名化形式外,不得将 End User Data 用于自身目的。
9.6 如本 Terms 与 DPA 在 Personal Data 的处理或数据保护法律方面存在冲突,则以 DPA 为准。
知识产权
10.1 Almedia 保留其平台、技术、分析、反欺诈系统、归因逻辑、流程及报告相关的所有权利。
10.2 除非明确规定,否则不向 Publisher 授予任何权利。
保密
11.1 「Confidential Information」是指一方(「Discloser」)以任何形式向另一方(「Recipient」)披露的所有非公开或专有信息,包括但不限于:
(a) Freecash Link、Almedia Link、Almedia Lift,或类似账户关联或奖励资金产品/集成的存在、性质、功能及商业细节
(b) 产品概念、设计、规格、路线图、功能、API、文档及安全凭证
(c) 定价、财务条款、绩效指标、用户或使用数据
(d) Agreement、Order Forms 及相关商业安排条款
11.2 各方应严格保密所有 Confidential Information,除非本 Agreement 明确允许,不得向第三方披露。各方仅可为履行或执行本 Agreement 之目的使用 Confidential Information,并应以不低于保护自身同类保密信息、且在任何情况下不低于合理注意义务的标准予以保护。
11.3 Confidential Information 仅可在严格必要知悉范围内向各方的员工、高管、关联方、专业顾问或分包商披露,但前提是该等接收方须受不低于本条规定保护水平的书面保密义务约束。披露方应对该等接收方的违约承担责任。
11.4 本条义务在 Agreement 终止或届满后持续3年。但商业秘密及 Personal Data 相关义务在适用法律保护该等信息期间继续有效。
11.5 除非获得 Almedia 的明确批准或适用法律要求,Publisher 不得发布任何提及 Almedia、Freecash、Freecash Link、Almedia Link、Almedia Lift,或提及 Services 存在或条款的新闻稿、营销沟通、公开声明、案例研究或其他披露内容。
合规
12.1 Publisher 必须遵守适用法律法规、广告标准、消费者保护规则、制裁法、平台政策及数据保护要求。
12.2 如 Almedia 认定存在合理的违规风险,可暂停或限制 Campaign 或投放。
审计权
13.1 经提前5个工作日通知,Almedia 可 नियुक्त独立审计师验证以下事项。
归因准确性
跟踪完整性
服务器端 postback 的准确性
MMP 配置及日志
13.2 Publisher 必须提供相关仪表板和日志的只读访问权限。
13.3 如偏差超过5%,Publisher 应:(a) 报销审计费用,(b) 纠正配置问题,及 (c) 补记少报的 Actions。
保证与免责声明
14.1 各方保证其拥有签署 Agreement 的权限。
14.2 Almedia 不保证流量或收入。
费用及 Action 模型
以下费用及 Action 模型可适用于 Services,具体以适用 Order Form 规定或双方另行书面约定为准。
(a) CPI:当通过适用 MMP 按约定 Attribution Window 成功归因给 Almedia 的安装发生时,向 Publisher 计费并付款。
(b) CPA:当在适用 Postback Window 内发生定义的应用内事件,并通过 MMP 成功归因给 Almedia 时,向 Publisher 计费并付款。
(c) CPM:由 Almedia 的内部测量系统计算的可计费展示次数,除非 Publisher 提供清晰且可验证的技术证据证明存在明显错误。
(d) CPC:由 Almedia 的跟踪系统及日志测量的可计费点击,除非 Publisher 提供清晰且可验证的技术证据证明存在明显错误。
(e) 少投:Almedia 对少投不承担责任。限额、节奏控制、量级预估及预测仅为目标而非保证,少投不构成本 Agreement 违约,也不构成 Publisher 索赔或补偿的依据。
(f) 归因优先级:如第6.3条所述。
责任限制
16.1 Almedia 的总责任上限为事件发生前12个月内已支付的费用总额。
16.2 任何一方均不对间接、后果性、惩罚性或特殊损害承担责任,包括利润损失、商机损失或数据丢失。
16.3 对故意不当行为或欺诈的责任不予免责。
期限与终止
17.1 任一方可提前30天书面通知终止 Order Form 或 Agreement。
17.2 如重大违约在收到10天通知后仍未纠正,任一方可立即终止。
17.3 保密、责任、付款、数据保护及适用法律条款在终止后继续有效。
变更
18.1 Almedia 可不时更新本 Terms。更新版本将发布于 Order Form 中载明的 URL。
18.2 变更自发布之时起生效。
18.3 Publisher 在发布后继续提供 Services,即视为接受该等变更。
18.4 Almedia 可不时更新 Integration Guide。轻微变更自公布之时起生效。重大变更将通知 Publisher,且未经 Publisher 同意,不适用于已上线的 Campaign。
适用法律及管辖
19.1 本 Agreement 适用德意志联邦共和国法律,但不适用其冲突法规则。
19.2 因本 Agreement 引起或与之相关的所有争议,均由德国柏林法院享有专属管辖权。
19.3 各方不可撤销地服从德国柏林法院的专属管辖,并同意不对该等法院的管辖权提出异议。
杂项
20.1 任何条款均不构成合伙、合资、信托或代理关系。
20.2 通知可通过电子邮件发出。
20.3 如任何条款无效,其余条款仍然有效,且无效条款应由最接近双方原意且可执行的条款取代。
20.4 Agreement 构成双方之间的完整协议。
